These Terms and Conditions ("Terms") govern your access to and use of the NearBuy.Delivery platform, website, and associated services. By registering an account, accessing the dashboard, or utilizing our WhatsApp integration, you agree to be bound by these Terms.

1. Description of Service

NearBuy.Delivery provides an AI-powered conversational commerce platform enabling local grocery stores ("Store Owners") to receive, translate, and manage customer orders via WhatsApp. We act solely as a technology intermediary between the Store Owner and their end customers.

2. Store Owner Responsibilities

As a participating Store Owner on our platform, you agree that:

  • Fulfillment: You are solely responsible for fulfilling orders, managing inventory, pricing your goods, and delivering items to the end customer.
  • Disputes: Any disputes regarding product quality, missing items, or delivery delays are strictly between you and your end customer.
  • Compliance: You will not use our platform to sell illegal, restricted, or prohibited goods in your jurisdiction.
  • Account Security: You are responsible for maintaining the confidentiality of your dashboard login credentials.

3. Credits and Billing

Our service operates on a pay-as-you-go, credit-based system.

  • Credit Usage: AI processing consumes credits based on the message type (e.g., text, image, voice) as outlined on our pricing page.
  • Purchases: Credit top-ups are billed upfront. All credit purchases are final and non-refundable.
  • Account Suspension: If your credit balance reaches zero, the AI assistant will temporarily pause order intake until the account is topped up.

4. Acceptable Use Policy

You agree not to misuse the NearBuy.Delivery platform. This includes, but is not limited to:

  • Attempting to reverse-engineer, decompile, or hack the platform or our AI integration.
  • Using the WhatsApp integration to send spam, unsolicited promotions, or harassing messages to customers.
  • Violating Meta's WhatsApp Business Messaging Policies or Terms of Service.

5. Limitation of Liability

To the maximum extent permitted by law, NearBuy.Delivery and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service. We do not guarantee continuous, uninterrupted access to WhatsApp or our AI providers, as these depend on third-party infrastructure.

6. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify Store Owners of any significant changes via the dashboard or email. Continued use of the service after such modifications constitutes acceptance of the updated Terms.
